  1. Definitions Account – A unique user profile registered to access EQNE Buyer – A user purchasing goods on EQNE Seller – A user listing and selling goods on EQNE Goods – Any tack, apparel, or equestrian-related item listed for sale Platform – The EQNE website, mobile services, and associated tools User – Any individual accessing or using EQNE Service – The EQNE platform, including all associated features Operator – EQNE LLC

  2. User Accounts 2.1 Account Creation To use EQNE, you must create and maintain an active account with accurate, complete, and current information. You agree not to create multiple accounts without our permission. 2.2 Account Responsibilities You are responsible for maintaining the confidentiality of your login credentials. Notify EQNE immediately of any unauthorized use of your account. 2.3 Eligibility You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a legally binding contract.

  3. Use of the Platform 3.1 Prohibited Activities Users may not:

  • Post false, deceptive, or misleading information
  • List prohibited, counterfeit, misrepresented, or stolen goods
  • Infringe intellectual property, privacy, or publicity rights
  • Harass, threaten, or defraud others
  • Circumvent EQNE’s fees, payment processing, or security systems EQNE reserves the right to suspend or terminate accounts that violate these rules, at its sole discretion.

  1. Orders and Transactions 4.1 Payments All payments are processed securely via Stripe. By transacting on EQNE, you agree to Stripe’s terms of service and authorize EQNE to facilitate and manage payments on your behalf. EQNE is not a party to the transaction between buyer and seller. 4.2 Listing Accuracy Sellers must provide honest, accurate descriptions and clear photos. Misleading or false listings may be removed. 4.3 Shipping and Delivery Sellers are responsible for shipping items promptly (within 3 business days) and securely. Buyers are responsible for confirming delivery. EQNE is not responsible for lost, delayed, or damaged packages. 4.4 Disputes In the event of a dispute, users should attempt resolution directly. EQNE may intervene at its discretion, but is not obligated to mediate. Any decision made by EQNE, if involved, will be considered final.

  2. Fees EQNE may charge service and/or commission fees for using the platform. These fees will be clearly disclosed at the time of listing or purchase.

Current Commission Policy:

  • Founders Circle: 10% lifetime commission for sellers who sign up, list, and complete at least one $25+ sale by December 31, 2025
  • Standard Commission: 15% commission for accounts created after January 1, 2026 or those that did not meet eligibility for the founders circle.
  • We reserve the right to modify fees with reasonable notice. Platform fees are non-refundable, including in cases of order cancellation or return.
  1. Taxes, Seller Permits & Compliance
  • If you sell three (3) or more items per year, or if you are located in the state of California, you may be required to register for a seller’s permit or similar tax registration under applicable state law.
  • Sales tax compliance is your responsibility. You agree to determine whether you are required to collect, report, or remit sales tax in your jurisdiction and to register for a seller’s permit if applicable.
  • You explicitly acknowledge: “I acknowledge I am responsible for sales tax compliance and will register for a seller’s permit if applicable.”
  • ShopEQNE does not provide legal or tax advice and recommends that you consult a qualified tax professional to ensure compliance with your specific obligations.
  • You understand that ShopEQNE may, as required by applicable laws, collect and remit sales tax on your behalf as a marketplace facilitator. You will be notified if and when ShopEQNE begins collecting tax on your sales in any given state.
  1. Intellectual Property
  • All content on EQNE, including logos, visuals, text, and code, is the property of EQNE LLC or its licensors and protected under applicable laws.
  • Users retain ownership of content they submit (e.g., product photos), but grant EQNE a non-exclusive, royalty-free license to use, display, and distribute such content for promotional or operational purposes.
  1. Limitation of Liability
  • EQNE provides its platform “as-is” and makes no guarantees regarding listings, transactions, or user conduct.
  • To the maximum extent permitted by law, EQNE and its affiliates are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill.

  1. Governing Law These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in California.

  2. Changes to Terms EQNE reserves the right to modify these Terms at any time. Changes will be posted on the platform, and if material, users will be notified by email. Continued use of EQNE constitutes acceptance of the updated Terms.
